Acceptance of These Terms

These terms govern your use of https://medimil.com and any quote, order, or sale between you and Medimil Inc(“we,” “us,” or “our”). By browsing the site, requesting a quote, or placing an order, you accept them. If you are acting for a company or facility, you confirm you are authorized to bind it.

Where a signed agreement, purchase order acknowledgment, or quote issued by us says something different, that document controls for that transaction.

Who May Buy

We sell primarily to businesses, healthcare facilities, laboratories, distributors, and professionals rather than to consumers for personal use. You must be at least 18 years old. Some equipment is restricted by federal law to sale or use by, or on the order of, a licensed practitioner; where that applies, you are responsible for holding the required license, registration, or authorization, and we may ask for proof before shipping.

We also offer some equipment through third-party marketplaces such as eBay; purchases made there are additionally governed by that marketplace’s own policies. Where a sale is made to an individual consumer, the mandatory protections of the consumer-protection laws that apply to that sale take precedence over any conflicting term below.

Quotes, Pricing, and Availability

Listings on this site are an invitation to request a quote, not an offer to sell. Inventory moves quickly and items are subject to prior sale. Prices, specifications, availability, lead times, and accessories are confirmed on the written quote we issue, and a quote is valid for the period stated on it.

We correct pricing, description, and availability errors — including after an order has been submitted — and may cancel an affected order for a full refund of anything you have paid.

Orders

Your order is an offer to buy. A contract forms only when we accept it in writing or ship the equipment, whichever happens first. We may decline or limit any order, including where an item is no longer available, where documentation is outstanding, or where we cannot verify the buyer.

Payment

Payment is due as stated on your quote or invoice. We accept card and account payments through Stripe and PayPal, and wire transfer where arranged in advance. Card details are handled by the processor, not by us. Unless credit terms have been agreed in writing, equipment ships after cleared payment.

Prices exclude sales, use, VAT, GST, duties, and similar taxes, which are your responsibility unless you provide a valid exemption or resale certificate. Overdue balances may accrue interest at the lower of 1.5% per month or the maximum permitted by law, together with reasonable collection costs.

Shipping, Title, and Risk of Loss

Shipping quotes are estimates; dates are targets, not guarantees, and we are not liable for carrier delays. Unless the quote states otherwise, equipment ships Ex Works / FOB origin: title and risk of loss pass to you when the equipment is handed to the carrier. Freight, crating, rigging, liftgate service, and insurance are billed as quoted.

Inspect every shipment on arrival. Note visible damage on the delivery receipt before signing, photograph the packaging and equipment, and tell us within the period stated on your invoice so a carrier claim can be filed. Claims raised after that window may not be recoverable.

Equipment Condition and Warranty

We sell both new and professionally refurbished equipment. Refurbished units are inspected and tested before sale; cosmetic wear is normal and photographs are representative of the specific unit unless stated otherwise. Accessories, probes, batteries, cables, software licenses, and consumables are included only where the quote lists them.

Where a warranty is offered, its length and scope are stated on the quote or invoice and that document is the entire warranty. It covers the equipment’s function under normal use and does not cover consumables, wear items, shipping damage, misuse, unauthorized repair or modification, or continued operation after a fault appears. Equipment sold “as-is” carries no warranty. Manufacturer warranties, where any remain, are assigned to you to the extent they are transferable.

Returns and Cancellations

Returns require a Return Merchandise Authorization from us before shipping anything back; unauthorized returns are refused. Approved returns must be complete, in the condition supplied, and packed to the original standard, and may be subject to a restocking fee stated at the time of authorization. Custom-configured, special-order, installed, and as-is items are not returnable. Original and return freight is non-refundable except where the equipment was misdescribed or arrived defective.

Orders already prepared for shipment, crated, or in transit may not be cancellable without charge.

Regulatory Compliance and Intended Use

You are responsible for confirming that the equipment is appropriate, lawful, and safe for your intended use, and for its installation, calibration, biomedical acceptance testing, staff training, and ongoing maintenance. Nothing on this site is clinical, biomedical, or regulatory advice, and no product description should be read as a representation of regulatory clearance for a particular application or jurisdiction.

Equipment is not supplied sterile unless expressly stated, and must be cleaned, disinfected, or sterilized to your facility’s protocol before clinical use.

Export, Import, and International Orders

International shipments are subject to U.S. export control and sanctions laws and to the import rules of the destination country. You agree not to export, re-export, or divert equipment in violation of those laws. Duties, taxes, customs clearance, registration, and any required import licenses are your responsibility unless the quote says otherwise.

Selling Equipment to Us

When you offer equipment through our Sell Equipment page, you confirm that you own it free of liens, that you may lawfully sell it, and that your description of its condition and history is accurate. Any offer we make is subject to inspection and verification. Equipment must be decontaminated and free of patient data before pickup or shipment; you remain responsible for removing protected health information from any device or storage media.

Accounts

Keep your account credentials confidential — you are responsible for activity under your account. Tell us promptly if you suspect unauthorized access. We may suspend or close an account used in breach of these terms.

Website Content and Acceptable Use

The site, its text, images, logos, and layout belong to Medimil Inc or its licensors and are protected by intellectual property laws. Manufacturer names and model numbers are used to identify equipment; they are the trademarks of their owners, and their use does not imply affiliation with or endorsement by them. Medimil Inc is an independent dealer and is not an authorized representative of any manufacturer unless we state so explicitly.

You may not scrape, republish, or resell our listings, interfere with the site’s operation or security, misrepresent your identity, or use the site for any unlawful purpose. We aim for accuracy but do not warrant that listings, specifications, or stock counts are error-free.

Disclaimer

Except for a warranty expressly stated on your quote or invoice, the site and all equipment are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these terms excludes or limits any warranty, right, or remedy that applicable law does not permit to be excluded or limited — including non-waivable consumer rights.

Limitation of Liability

To the fullest extent permitted by law, Medimil Inc is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, procurement of substitute equipment, or interrupted clinical or business operations, even if advised of the possibility. Our total liability arising out of or relating to a transaction will not exceed the amount you paid us for the equipment giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.

Indemnification

You agree to indemnify and hold Medimil Inc, its officers, employees, and agents harmless from claims, damages, and costs (including reasonable legal fees) arising from your breach of these terms, your misuse of equipment, or your failure to meet the licensing, regulatory, or safety obligations that apply to you.

Links to manufacturer documentation, carriers, marketplaces, and other outside sites are provided for convenience. We do not control them and are not responsible for their content, products, or practices.

Governing Law and Disputes

These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules, and the United Nations Convention on Contracts for the International Sale of Goods does not apply. The state and federal courts serving Schenectady County, New York have exclusive jurisdiction, and both parties consent to venue there. Before filing, please contact us — most issues are resolved directly.

General

If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign your rights or obligations without our written consent. These terms, together with the applicable quote or invoice and our Privacy Policy, are the entire agreement between us.

We may update these terms; the current version is always posted here with its “last updated” date, and the version in effect when your order is accepted governs that order.
